1. Agreement to Terms

These Terms of Use form a legally binding agreement between you ("you" or "user") and VISIGEN PTE. LTD., a company incorporated in Singapore ("Company", "we", "us", or "our"), governing your access to and use of the CoinHix mobile application (the "App") and CoinHix.com website (the "Website"), together referred to as the "Services".

By downloading, registering, or otherwise accessing our Services, you confirm that you have read, understood, and agreed to be bound by these Terms of Use. If you do not accept these terms in their entirety, you must immediately stop using the Services and uninstall the App from your device.

2. Description of Service

CoinHix is a mobile coin scanner application designed to help users identify US coins, estimate their market value, and evaluate their condition and grade. The App uses your device's camera to capture coin images for AI-powered analysis and securely stores your scan history and saved items on cloud servers.

Important Disclaimer: Coin valuations and grades provided by CoinHix are generated using AI technology and are intended for reference and educational purposes only. Results may be affected by camera resolution, lighting conditions, image angles, and other variables outside our control. CoinHix does not provide professional numismatic certification. We strongly recommend consulting a certified numismatist or professional coin grader before making any buying or selling decisions.

3. Intellectual Property Rights

3.1 Our Property

All content within the App and Services — including but not limited to text, graphics, logos, icons, images, algorithms, data compilations, and software — is owned by or licensed to VISIGEN PTE. LTD. and is protected under Singapore and international copyright, trademark, and intellectual property laws. Unauthorized reproduction or distribution of any content is strictly prohibited.

3.2 Your Content

You retain full ownership of any coin images or photos you upload to the App. By submitting content to our Services, you grant VISIGEN PTE. LTD. a non-exclusive, worldwide, royalty-free license to store, process, and display your images solely for the purpose of delivering the Services, including coin scanning, identification, valuation, and grading.

We will not use your uploaded images for any purpose beyond providing the Services, and we will not sell or share your images with third parties except where required to operate the Services or comply with applicable law.

3.3 Feedback

Any feedback, suggestions, or ideas you share with us about the App or Services may be used by VISIGEN PTE. LTD. freely and without any obligation to compensate you.

4. User Representations

By accessing or using the Services, you represent and warrant that:

• You are at least 13 years of age
• You have full legal capacity to enter into and be bound by these Terms of Use
• All information you provide to us is accurate, complete, and up to date
• You will use the Services only in compliance with these Terms and all applicable laws and regulations
• You will not use the Services for any fraudulent, illegal, or unauthorized purpose
• Your use of the Services does not violate any law or regulation applicable to you

5. User Registration and Account

5.1 Account Creation

To access certain features of the App, you may be required to create an account. You agree to provide truthful, accurate, and complete information during registration and to keep this information current at all times.

5.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account. VISIGEN PTE. LTD. shall not be held liable for any loss resulting from your failure to safeguard your account information.

5.3 Account Deletion

You may request deletion of your account at any time by contacting us at [email protected]. Upon deletion, your personal data and uploaded content will be permanently removed from our servers within 30 days, except where retention is required by law or legitimate business purposes.

6. Subscriptions and Payments

6.1 Premium Features

Certain features within CoinHix are available exclusively to users with an active paid subscription. All payments are processed securely through Apple App Store or Google Play Store payment systems, depending on your device.

6.2 Pricing

All subscription fees and in-app purchase prices are clearly displayed within the App prior to purchase. Prices are shown in the currency applicable to your region and may be subject to change with advance notice.

6.3 Billing and Auto-Renewal

• Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before the renewal date
• Your payment method will be charged for renewal within 24 hours prior to the end of the current subscription period
• You can manage your subscription and disable auto-renewal at any time through your Apple App Store or Google Play account settings

6.4 Refunds

All refund requests for purchases made through the Apple App Store are subject to Apple's refund policy and must be requested directly through the App Store. VISIGEN PTE. LTD. is unable to process refunds for Apple purchases on Apple's behalf.

For purchases made through Google Play, you may contact us directly at [email protected] within 30 days of your purchase date to request a refund. Refund requests submitted after 30 days will not be eligible for consideration. We reserve the right to approve or decline refund requests at our sole discretion.

6.5 Free Trials

Where a free trial is offered, you will not be charged during the trial period. Upon expiry of the trial, your subscription will automatically commence and you will be billed unless you cancel before the trial ends. Free trial eligibility is determined at our sole discretion and is generally limited to one trial per user.

7. Prohibited Activities

You agree not to use the Services for any purpose other than their intended use. The following activities are strictly prohibited:

• Using the Services for any unlawful purpose or in violation of any applicable local, national, or international laws
• Attempting to gain unauthorized access to any systems, networks, or data associated with the Services
• Disrupting, overloading, or interfering with the normal operation of the Services
• Using bots, scripts, crawlers, or other automated tools to access or extract data from the Services without our express written permission
• Submitting false, misleading, or fraudulent information through the Services
• Uploading or transmitting viruses, malware, or any other malicious code
• Reverse engineering, decompiling, or disassembling any part of the App
• Removing, altering, or obscuring any copyright, trademark, or proprietary rights notices
• Impersonating any person or entity, or misrepresenting your identity or affiliation
• Harvesting or collecting personal information of other users
• Using the Services to transmit unsolicited commercial communications or spam
• Engaging in any conduct that could damage, disparage, or negatively affect the reputation or business of VISIGEN PTE. LTD.

8. App Permissions and Privacy

To deliver core functionality, CoinHix requires access to the following device features:

• Camera: To capture coin images for scanning and analysis
• Photo Library: To allow selection of existing images and saving of scan results
• Storage: To store app data, user preferences, and cached content
• Internet: To transmit scan data to our servers and retrieve analysis results

9. User Content and Cloud Storage

9.1 Storage of Content

Coin images, scan history, and saved items are stored on secure cloud servers. We apply industry-standard security measures to protect your data.

9.2 Storage Limits

We reserve the right to impose storage limitations on user accounts. Free accounts may have restricted storage capacity, while premium subscribers may benefit from expanded storage allowances.

9.3 Content Backup

While we take reasonable measures to maintain data integrity, you are solely responsible for maintaining your own backups of any important content. VISIGEN PTE. LTD. shall not be liable for any loss or corruption of user data.

9.4 Prohibited Content

You may not upload content that:

• Infringes on the intellectual property rights of any third party
• Contains illegal, harmful, or offensive material
• Violates any applicable law or regulation
• Contains or distributes malware, viruses, or malicious code

We reserve the right to remove any content that violates these Terms without prior notice.

10. Third-Party Services

The Services may integrate with or link to third-party platforms and services not owned or operated by VISIGEN PTE. LTD., including analytics and infrastructure providers. We are not responsible for the content, security, or privacy practices of any third-party services. Your use of such services is governed by their respective terms and privacy policies.

11. App Store Compliance

11.1 Apple App Store

If you download CoinHix from the Apple App Store, the following additional terms apply:

• These Terms of Use govern the relationship between you and VISIGEN PTE. LTD. only; Apple is not a party to this agreement
• Your license to use the App is a non-transferable right to use the App on Apple-branded devices you own or control
• Apple has no obligation to provide maintenance or support for the App
• Apple is not responsible for any product liability claims, consumer protection claims, or intellectual property infringement claims related to the App
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you accordingly

11.2 Google Play Store

If you download CoinHix from Google Play, your use of the App is also subject to Google Play's Terms of Service. All in-app purchases made through Google Play are subject to Google's payment and refund policies.

12. Disclaimers

12.1 General Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VISIGEN PTE. LTD. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• Any results obtained through the Services will be accurate, complete, or reliable
• Any defects or errors in the Services will be corrected

12.2 Coin Valuation Disclaimer

ALL COIN IDENTIFICATION, VALUATION, AND GRADING RESULTS PROVIDED BY COINHIX ARE FOR REFERENCE AND EDUCATIONAL PURPOSES ONLY AND MUST NOT BE RELIED UPON AS DEFINITIVE ASSESSMENTS OR PROFESSIONAL APPRAISALS.

COIN VALUES ARE SUBJECT TO FLUCTUATION BASED ON MARKET CONDITIONS, RARITY, CONDITION, COLLECTOR DEMAND, AND OTHER FACTORS. VISIGEN PTE. LTD. DOES NOT GUARANTEE THE ACCURACY OR COMPLETENESS OF ANY VALUATION. USERS SHOULD ALWAYS SEEK ADVICE FROM A CERTIFIED NUMISMATIST OR PROFESSIONAL COIN GRADER BEFORE COMPLETING ANY TRANSACTION.

12.3 Third-Party Disclaimer

VISIGEN PTE. LTD. accepts no responsibility for issues, errors, or interruptions caused by third-party services integrated within or linked to the App.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VISIGEN PTE. LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or stored content
• Loss of goodwill or reputation
• Business interruption or downtime
• Personal injury or property damage

ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, UNAUTHORIZED ACCESS TO YOUR DATA, OR ANY CONDUCT OF THIRD PARTIES WITHIN THE SERVICES, REGARDLESS OF THE LEGAL BASIS FOR SUCH CLAIMS.

IN JURISDICTIONS WHERE SUCH EXCLUSIONS ARE NOT PERMITTED, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) SGD 20.

14. Indemnification

You agree to indemnify, defend, and hold harmless VISIGEN PTE. LTD. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms of Use
• Your use or misuse of the Services
• Your violation of any applicable law or third-party rights
• Any content you upload or submit through the Services
• Any fraudulent or unauthorized activity conducted through your account

15. User Data

We retain certain user data to manage and improve the performance of the Services. While we conduct regular data backups, you are solely responsible for maintaining copies of any data you consider important. VISIGEN PTE. LTD. shall not be liable for any loss or corruption of user data, and by using the Services, you waive any right of action against us in connection with such loss.

16. Modifications and Service Availability

VISIGEN PTE. LTD. reserves the right to modify, suspend, or discontinue any part of the Services at any time and without prior notice. We are not obligated to update any content or features within the Services, and we shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

We do not guarantee that the Services will be available at all times and accept no liability for any interruptions, delays, or errors resulting from technical maintenance or unforeseen issues.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms of Use shall be governed by and interpreted in accordance with the laws of the Republic of Singapore, without reference to its conflict of laws principles.

17.2 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms or the Services, both parties agree to first attempt resolution through good faith negotiation within 30 days of written notice of the dispute.

17.3 Jurisdiction

If a dispute cannot be resolved through negotiation, both parties irrevocably submit to the exclusive jurisdiction of the courts of Singapore. However, VISIGEN PTE. LTD. retains the right to seek injunctive or other equitable relief in any jurisdiction where necessary to protect its rights.

17.4 Class Action Waiver

To the extent permitted by law, all disputes must be brought on an individual basis only. You waive any right to participate in any class action, collective proceeding, or representative action against VISIGEN PTE. LTD.

18. Termination

18.1 Termination by Us

VISIGEN PTE. LTD. reserves the right to suspend or permanently terminate your account and access to the Services at any time and without prior notice, including but not limited to:

• Breach of these Terms of Use
• Fraudulent, abusive, or illegal activity
• Extended periods of account inactivity
• Requests from law enforcement or regulatory authorities
• Non-payment of applicable subscription fees
• Technical or security concerns

18.2 Effect of Termination

Upon termination of your account:

• Your right to access and use the Services will immediately cease
• We may delete your account and all associated data
• Any outstanding fees or charges remain payable
• All provisions of these Terms that by nature should survive termination shall remain in effect, including intellectual property rights, disclaimers, indemnification, and limitations of liability

18.3 No Refunds Upon Termination

If your account is terminated due to a breach of these Terms, any remaining subscription time will be forfeited without refund.

19. Changes to Terms

We may update these Terms of Use from time to time to reflect changes in our Services, legal requirements, or business practices. Where changes are material, we will provide at least 30 days' notice by:

• Displaying a notification within the App
• Sending an email to your registered address (where available)

What constitutes a material change is determined at our sole discretion. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the revised Terms.

20. Severability and Waiver

20.1 Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

20.2 Waiver

Our failure to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing and signed by an authorized representative of VISIGEN PTE. LTD. to be effective.

21. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other legal notices published on the Services, constitute the entire agreement between you and VISIGEN PTE. LTD. with respect to the Services and supersede all prior agreements, representations, and understandings.
